Terms & Conditions

These Terms & Conditions (the “Terms”) are a binding agreement between you and TestVault (“TestVault,” “we,” “us,” or “our”) and govern your access to and use of the TestVault platform, websites, and related services (together, the “Service”). Please read them carefully.

By creating a workspace, clicking “I agree,” or otherwise accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

1. The Service

TestVault is a QA automation platform. It connects to a web application you designate (your “Target Application”), crawls and maps its surface, and uses automated and AI-assisted tooling to generate, run, heal, and report on end-to-end tests. The Service is provided on a subscription basis and is licensed, not sold, to you.

We may update, improve, or change features of the Service over time. We may also introduce, modify, or discontinue features, and we will use reasonable efforts to notify you of material adverse changes.

2. Accounts and Workspaces

To use the Service you must create an account and a workspace and provide accurate, complete information. You are responsible for all activity that occurs under your account and for keeping your credentials confidential. You must be at least 18 years old.

You are responsible for your users. If you invite others to your workspace, you are responsible for their compliance with these Terms and for the actions they take within your workspace.

3. Subscriptions, Plans, and Tokens

The Service is offered under different plans (for example, Free, PRO, and Enterprise). Each plan grants a monthly allowance of tokens, which are the internal unit consumed by AI-assisted operations such as generating, healing, and reviewing tests. Different models and operations consume different amounts of tokens.

Tokens: Your plan’s token allowance refreshes at the start of each billing period and does not roll over unless expressly stated. Optional token top-up packs may be purchased separately; unless stated otherwise, purchased top-up tokens carry until used. Tokens have no cash value, are not refundable, and are not transferable or redeemable except to access the Service.

Enterprise: Enterprise plans are offered on custom terms agreed in a separate order or agreement, which will control to the extent they conflict with these Terms.

4. Billing, Renewals, and Cancellation

Paid plans are billed in advance on a recurring basis (for example, monthly at the then-current price) through our third-party payment processor, PayPal. By subscribing, you authorize us and our processor to charge your selected payment method on each renewal until you cancel.

Auto-renewal and cancellation: Subscriptions renew automatically for successive periods unless you cancel before the end of the current period. You may cancel at any time from the Billing page; cancellation takes effect at the end of the current paid period, and you retain paid access until then.

Refunds and price changes: Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods, unused tokens, or unused features. We may change prices or plan features; we will give reasonable prior notice, and changes apply from your next renewal.

Taxes: Fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, or similar taxes, other than taxes on our net income.

5. Testing Authorization and Connected Applications

The Service accesses, crawls, and runs automated tests against your Target Application on your instruction. This is core to how TestVault works, and it carries responsibilities that are yours, not ours.

You represent and warrant that, for every Target Application you connect or test, you either own it or are authorized by its owner to permit automated access and testing, and that doing so does not violate any law, contract, or third-party right.

You authorize us to access, crawl, navigate, submit forms in, and execute automated interactions against your Target Application using the URLs, credentials, and instructions you provide, solely to provide the Service.

You are solely responsible for the effects of testing. Automated tests can create, modify, or delete data and trigger actions in the Target Application. You should test against non-production or staging environments and use dedicated test accounts wherever possible. We are not responsible for changes, data loss, charges, notifications, or other effects that testing produces in your Target Application or any connected third-party system.

6. Credentials and Security

To test authenticated flows you may provide credentials or a captured session for a test user. We store such secrets encrypted and use them only to operate the Service on your behalf. You are responsible for providing appropriately scoped, dedicated test credentials and for rotating or revoking them as needed.

You must maintain the security of your account and promptly notify us of any unauthorized use. We implement reasonable technical and organizational measures, but no method of transmission or storage is completely secure.

7. AI-Assisted and Generated Content

The Service uses artificial intelligence to generate test code, suggestions, summaries, and other output (“Generated Content”). Generated Content is produced automatically, may be inaccurate, incomplete, or unsuitable, and is provided for your review.

You are responsible for reviewing, testing, and validating Generated Content before relying on it. TestVault does not warrant that Generated Content is correct, complete, or fit for any particular purpose, and a passing or failing test result is not a guarantee about the quality, security, or compliance of your Target Application.

8. Acceptable Use

You agree not to, and not to permit anyone to:

  • test or access any application you do not own or are not authorized to test;
  • use the Service to gain unauthorized access to, disrupt, overload, or attack any system, or to perform denial-of-service or unauthorized penetration testing;
  • upload or transmit malware, or use the Service to build, host, or distribute malicious code;
  • reverse engineer, resell, sublicense, or create a competing service from the Service, except as permitted by law;
  • infringe intellectual property or privacy rights, or violate any applicable law or regulation; or
  • circumvent usage limits, token accounting, security, or access controls.

We may suspend or limit access to protect the Service, our users, or third parties, including where we reasonably believe these Terms have been violated.

9. Customer Data and Ownership

As between you and us, you own the data, content, and materials you provide or that the Service collects from your Target Application on your behalf (“Customer Data”), as well as the tests generated for your workspace. You grant us a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide, secure, and improve the Service and as otherwise described in our Privacy Policy.

We may collect and use aggregated, de-identified data that does not identify you or your Target Application to operate and improve the Service.

10. Intellectual Property

The Service, including its software, models, interfaces, and content (excluding Customer Data), and all related intellectual property, are and remain the property of TestVault and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription.

Feedback you provide about the Service may be used by us without restriction or obligation to you.

11. Confidentiality

Each party may access non-public information of the other. Each party will protect the other’s confidential information with reasonable care and use it only to exercise its rights and perform its obligations under these Terms.

12. Third-Party Services

The Service integrates third-party services, including PayPal for payments and AI model providers for Generated Content. Your use of those services may be subject to their own terms, and we are not responsible for third-party services. We are not a bank or payment institution; payments are handled by our processor.

13. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

14. Disclaimers

The Service and all Generated Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that tests or results will be accurate or complete.

15. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to these Terms or the Service, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).

16. Indemnification

You will defend, indemnify, and hold harmless TestVault and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Data or Target Application; (b) your testing of any application you did not own or were not authorized to test; or (c) your violation of these Terms or applicable law.

17. Term and Termination

These Terms apply while you use the Service. You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms and do not cure within a reasonable period, or immediately where required to protect the Service or comply with law.

On termination, your right to use the Service ends. We may delete Customer Data after a reasonable period in accordance with our retention practices; please export anything you need before terminating. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

18. Changes to the Service or Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new effective date or notifying you in-app). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

19. Governing Law and Disputes

These Terms are governed by the laws of [Governing Jurisdiction], without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in [Venue] for any dispute not subject to another agreed dispute-resolution process.

20. General

These Terms, together with any order or plan you accept and our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
